1. Agreement to Terms

By accessing or using the services provided by VMC Medone Solutions (“Company,” “we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These Terms of Service govern the relationship between VMC Medone Solutions and its clients for all medical billing, revenue cycle management, and related services.


2. Services Provided

VMC Medone Solutions provides the following services to healthcare providers:

  • Eligibility & Benefits Verification
  • Prior Authorization Management
  • Patient Demographics & Charge Entry
  • Medical Coding (ICD-10, CPT, HCPCS)
  • Claims Submission & Follow-up
  • Denial Management & Appeals
  • Accounts Receivable Management
  • Payment Posting & Reconciliation
  • Provider Credentialing & Enrollment

The specific services provided to each client will be outlined in a separate Service Agreement signed between VMC Medone Solutions and the client.


3. Client Responsibilities

As a client of VMC Medone Solutions, you agree to:

  • Provide accurate, complete, and timely patient and clinical information required for billing and coding
  • Ensure all clinical documentation is accurate and complete before submission to VMC Medone Solutions
  • Notify VMC Medone Solutions of any changes to your practice, providers, or insurance contracts in a timely manner
  • Maintain valid and current provider licenses, certifications, and payer enrollments as required
  • Cooperate fully with VMC Medone Solutions in the performance of the agreed services
  • Comply with all applicable federal, state, and local healthcare laws and regulations
  • Designate an authorized contact person for all communications with VMC Medone Solutions

4. Fees & Payment Terms

  • Fees for services are outlined in the Service Agreement between VMC Medone Solutions and the client
  • VMC Medone Solutions operates on a percentage-based billing model unless otherwise agreed in writing
  • Invoices are issued monthly and are due within 15 days of the invoice date
  • Late payments may be subject to a late fee as specified in the Service Agreement
  • VMC Medone Solutions reserves the right to suspend services for accounts with outstanding balances exceeding 30 days
  • All fees are exclusive of applicable taxes unless otherwise stated

5. Confidentiality & HIPAA Compliance

VMC Medone Solutions is fully committed to protecting the confidentiality of all patient and practice information.

  • VMC Medone Solutions will execute a Business Associate Agreement (BAA) with all clients as required by HIPAA
  • All patient health information (PHI) is handled in strict compliance with HIPAA Privacy and Security Rules
  • VMC Medone Solutions implements administrative, physical, and technical safeguards to protect all PHI
  • VMC Medone Solutions staff are trained on HIPAA compliance requirements
  • Any breach of PHI will be reported to the client in accordance with HIPAA Breach Notification Rules
  • Confidential client information will not be disclosed to any third party without prior written consent

6. Intellectual Property

  • All processes, methodologies, software, and systems used by VMC Medone Solutions remain the exclusive property of VMC Medone Solutions
  • Client data, patient information, and practice records remain the exclusive property of the client
  • VMC Medone Solutions does not claim any ownership over client data or patient health information
  • Neither party may use the other party’s name, logo, or trademarks without prior written consent

7. Limitation of Liability

  • VMC Medone Solutions will perform all services with reasonable care and professional diligence
  • VMC Medone Solutions shall not be liable for claim denials resulting from incomplete or inaccurate information provided by the client
  • VMC Medone Solutions shall not be liable for payer policy changes, regulatory changes, or actions outside its reasonable control
  • In no event shall VMC Medone Solutions’ total liability exceed the total fees paid by the client in the three months preceding the event giving rise to the claim
  • VMC Medone Solutions shall not be liable for any indirect, incidental, special, or consequential damages

8. Indemnification

The client agrees to indemnify and hold harmless VMC Medone Solutions, its officers, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Inaccurate or incomplete information provided by the client
  • Client’s failure to comply with applicable laws and regulations
  • Client’s breach of these Terms of Service
  • Any fraudulent billing practices directed or approved by the client

9. Term & Termination

  • These Terms of Service remain in effect for the duration of the Service Agreement
  • Either party may terminate the Service Agreement with 30 days written notice
  • VMC Medone Solutions reserves the right to terminate services immediately in cases of non-payment, fraud, or material breach of these terms
  • Upon termination, VMC Medone Solutions will provide all client data and records in a mutually agreed format within 30 days
  • All confidentiality obligations survive termination of the Service Agreement

10. Governing Law & Dispute Resolution

  • These Terms of Service are governed by the laws of the United States
  • Any disputes arising from these terms will first be attempted to be resolved through good-faith negotiation
  • If negotiation fails, disputes will be submitted to binding arbitration in accordance with applicable arbitration rules
  • The prevailing party in any dispute shall be entitled to recover reasonable attorney’s fees and costs

11. Modifications to Terms

  • VMC Medone Solutions reserves the right to modify these Terms of Service at any time
  • Clients will be notified of material changes via email at least 30 days before they take effect
  • Continued use of services after the effective date of changes constitutes acceptance of the updated terms
  • If you do not agree to the modified terms, you may terminate the Service Agreement with 30 days written notice
